These Terms and Conditions form a binding agreement between you and Africa Poultry Development Group Ltd. Please read them carefully before accessing or using the APD eLearning Academy. 1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern your access to and use of the APD eLearning Academy ("Academy"), an online learning platform operated by Africa Poultry Development Group Ltd ("APD", "we", "us", or "our") through its website at apd.africa and related subdomains.
By logging into, accessing, or using the Academy, you ("User", "you") agree to be bound by these Terms in full. If you do not agree to these Terms, you must not use the Academy. APD reserves the right to amend these Terms at any time. We will notify you of material changes by posting the updated Terms on the Academy with a revised effective date. Your continued use of the Academy following any changes constitutes your acceptance of the revised Terms.
2. About the APD eLearning Academy
The APD eLearning Academy is an employer-administered educational platform designed to empower APD employees, poultry farmers, agribusiness professionals, and other authorised stakeholders across Africa with practical knowledge and skills to improve poultry farming practices and sustainable food production.
The Academy operates across four APD subsidiaries, each maintaining a dedicated learning environment tailored to its employees and stakeholders:

Course offerings, content, and features may change over time without prior notice. APD does not guarantee the continuous availability of any specific course or resource.
3. Access, Eligibility, and Account Setup
3.1 How Access is Granted
Access to the Academy is granted exclusively by an authorised HR officer or system administrator within your employing APD subsidiary. Administrators provision each user with:
A unique Payroll Number, which serves as your Academy username.
A temporary password for first-time login.
Self-registration is not permitted. You may only access the Academy using credentials provided by your subsidiary's administrator.
3.2 First-Time Login and Profile Setup
On your first login, you will complete a one-time profile setup requiring you to:
Select your country of employment: Kenya (Kenchic), Uganda, Tanzania, or Zambia.
Select your gender.
Create a new password of your choice to replace the administrator-issued temporary password.
You must complete all required fields before you can proceed to the Academy. By completing the profile setup, you confirm that the information you provide is accurate and that you are the authorised holder of the Payroll Number assigned to you.
3.3 Subsidiary Redirection
Upon successful completion of your first-time profile setup, and on every subsequent login, you will be automatically redirected to the dedicated learning portal of the APD subsidiary corresponding to your selected country. Your course enrolments, learning progress, assessments, and certificates are maintained within your assigned subsidiary portal. If you believe you have been redirected to an incorrect subsidiary, please contact your HR administrator.
3.4 Account Security
You are responsible for:
Keeping your Payroll Number and password confidential at all times.
Not sharing your login credentials with any other person.
All activity that occurs under your account.
Notifying your subsidiary HR administrator or APD immediately at academy@apd.africa if you suspect unauthorised access to your account.
APD reserves the right to suspend any account where there is evidence of shared access, misuse, or a security breach.
3.5 Account Accuracy
You agree to provide truthful, accurate, and up-to-date information throughout your use of the Academy. Providing false or misleading information — including during first-time profile setup — is a breach of these Terms and may result in immediate account suspension and referral to your employer.
4. Licence to Access Courses and Content
4.1 Licence to Use
Subject to your compliance with these Terms, APD grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Academy for your personal, non-commercial learning and professional development purposes only. This licence does not permit you to reproduce, adapt, distribute, or commercially exploit any Academy content.
4.2 Free and Paid Content
The Academy may offer both employer-funded and individually paid courses. Where a fee applies, it will be clearly indicated prior to enrolment. Fees are payable in accordance with the payment terms displayed at the time of enrolment.
4.3 Course Availability
APD does not guarantee the continuous availability of any specific course or resource. We reserve the right to modify, suspend, or discontinue any course or content at any time, with reasonable notice where practicable. Availability may also vary by subsidiary portal.
4.4 Certificates
Certificates of completion are awarded to users who successfully fulfil all course requirements as determined by APD. Certificates are for personal and professional development purposes only and do not constitute formal academic or professional qualifications unless expressly stated. APD reserves the right to withdraw or amend a certificate where completion requirements were not genuinely met.
5. Payments, Fees, and Refunds
5.1 Fees
All fees for individually paid courses are displayed in the applicable local currency at the time of enrolment. APD reserves the right to change prices at any time. Price changes will not affect completed enrolments. Applicable taxes will be charged in accordance with the law of the relevant subsidiary's country.
5.2 Payment
Payment must be made in full at the time of enrolment using the accepted payment methods displayed on the Academy platform. APD uses third-party payment processors. By making a payment, you agree to the terms of the relevant payment processor. You represent and warrant that any payment information you provide is accurate, complete, and that you are authorised to use the payment method provided.
5.3 Refunds
Refund requests must be submitted within seven (7) days of enrolment and before completion of more than 20% of the course content. APD will review refund requests on a case-by-case basis. No refunds will be issued for completed courses or in cases of misuse or violation of these Terms.
6. User Conduct and Prohibited Activities
You agree to use the Academy responsibly and in accordance with all applicable laws. The table below summarises the key categories of prohibited conduct:

Harmful content | Uploading defamatory, offensive, obscene, or unlawful material to the Academy. |
Platform interference | Introducing malware, bots, scrapers, or code that disrupts or reverse-engineers the platform. |
IP infringement | Reproducing, distributing, or commercially exploiting course content without APD's written consent. |
Academic dishonesty | Completing assessments on behalf of another user, sharing answers, or falsifying completion records. |
Commercial misuse | Using the Academy or its content for commercial purposes or to train AI models without consent. |
In addition to the categories above, you must not:
Use the Academy for any unlawful, fraudulent, or harmful purpose.
Attempt to access another user's account or a subsidiary portal you are not assigned to.
Reverse engineer, decompile, or attempt to extract source code from any part of the Academy platform.
Interfere with or disrupt the Academy's servers, networks, or infrastructure.
Use automated tools (bots, scrapers, or crawlers) to access or interact with the Academy.
Impersonate any person or entity, or misrepresent your affiliation with APD or any subsidiary.
Use APD Content to train any artificial intelligence model or for any automated data extraction purpose without APD's prior written consent.
IMPORTANT: APD reserves the right to investigate and take appropriate action — including immediate account suspension or termination, referral to your employer, and referral to relevant legal or regulatory authorities — against any User who violates these Terms. Violations may also be reported to the applicable national data protection authority. |
7. Intellectual Property
7.1 APD's Rights
All content on the Academy, including but not limited to course materials, videos, text, graphics, logos, illustrations, audio, and software, is the intellectual property of APD or its licensors and is protected by applicable copyright, trademark, and intellectual property laws in Kenya, Uganda, Tanzania, Zambia, and internationally.
7.2 Restrictions
You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the Academy without APD's prior written permission. You may download and print course materials solely for your own personal, non-commercial use. You must not remove, alter, or conceal any copyright, trademark, or proprietary notices on the Academy or any APD content.
7.3 User-Generated Content
If you submit content to the Academy (such as forum posts, quiz responses, or feedback), you grant APD a non-exclusive, royalty-free, worldwide licence to use, reproduce, and display such content for Academy operational purposes and (with appropriate anonymisation) for training analytics and reporting. You warrant that your content does not infringe any third-party rights.
7.4 Trademarks
The name "Africa Poultry Development Group", "APD", "APD eLearning Academy", the APD logo, and subsidiary brand names (Kenchic, YO Kuku, Interchick, Hybrid) and their associated trade dress are the property of APD or the respective subsidiary. Nothing in these Terms grants you any right to use these marks without prior written consent.
7.5 Feedback
If you provide APD with suggestions, ideas, or other feedback about the Academy ("Feedback"), you agree that APD may freely use, incorporate, and disclose such Feedback without any obligation, compensation, or restriction. Feedback is not confidential and does not create any relationship beyond what is set out in these Terms.
8. Privacy and Data Protection
Your use of the Academy is subject to APD's Privacy Policy, which is incorporated into these Terms by reference. By using the Academy, you consent to the collection, use, and processing of your personal information as described in the Privacy Policy, including the collection of your Payroll Number, country, gender, and password during account setup, and the automatic routing of your account to your subsidiary's learning portal. A copy of the Privacy Policy is available at apd.africa. APD complies with all applicable national data protection laws across its countries of operation.
9. Disclaimers and Limitation of Liability
9.1 General Disclaimer
The Academy and all content therein are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. APD does not warrant that the Academy will be error-free, uninterrupted, or free of viruses or other harmful components.
9.2 No Professional Advice
The information and educational content provided through the Academy are for general informational and training purposes only. They do not constitute professional veterinary, agricultural, financial, or legal advice. You should seek appropriate professional advice before making decisions that may affect your farming operations, food safety practices, or business. Nothing in these Terms limits APD's liability for death, personal injury, or fraud caused by its own negligence or wilful misconduct.
9.3 Limitation of Liability
To the fullest extent permitted by applicable law in each country of operation, APD, its affiliates, subsidiaries, directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Academy or any content therein, including loss of data, loss of income, or business interruption. In no event shall APD's total aggregate liability to you exceed the amount paid by you to APD in the twelve (12) months immediately preceding the event giving rise to the claim.
10. Third-Party Links and Content
The Academy may contain links to third-party websites, resources, or services for convenience only. APD does not endorse and is not responsible for the content, accuracy, legality, or practices of any third-party site. Your use of third-party sites is at your own risk and subject to those sites' own terms and privacy policies.
11. Suspension and Termination
11.1 By APD or Your Employer
APD or your employing subsidiary reserves the right to suspend, restrict, or terminate your access to the Academy at any time, including where your employment with the subsidiary ends, where your administrator deactivates your account, or where you have violated these Terms or engaged in fraudulent activity. Upon termination for any reason, your licence to use the Academy and access its content will immediately cease.
11.2 By You
You may request closure of your Academy account by contacting your subsidiary HR administrator or APD at academy@apd.africa. Closure of your account does not entitle you to a refund of any fees paid.
11.3 Effect of Termination
Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and governing law provisions — shall continue to apply after the expiry or termination of this Agreement.
12. Indemnification
You agree to defend, indemnify, and hold harmless APD, its affiliates, subsidiaries, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
Your use of or access to the Academy.
Your breach or alleged breach of these Terms.
Your User-generated content.
Your violation of any third party's rights, including intellectual property, privacy, or confidentiality.
Your violation of any applicable law or regulation in your country of employment.
Any misrepresentation made by you in connection with your use of the Academy.
13. Force Majeure
APD shall not be liable for any failure or delay in performance of its obligations under these Terms caused by circumstances beyond its reasonable control, including natural disasters, acts of government, power failures, internet outages, civil unrest, pandemic events, or any other force majeure event. APD will endeavour to resume normal operations as soon as reasonably practicable following any such event.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Kenya. Users accessing the Academy through subsidiaries in Uganda, Tanzania, or Zambia may also have additional rights under local consumer protection and data protection laws, which shall apply where required by local law.
14.2 Informal Resolution
In the event of any dispute arising out of or in connection with these Terms or the Academy, the parties shall first attempt to resolve the dispute amicably through good-faith negotiation. You agree to contact APD at academy@apd.africa and allow thirty (30) days for informal resolution before initiating formal proceedings.
14.3 Formal Proceedings
If a dispute cannot be resolved informally within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the courts of Kenya, without prejudice to any mandatory local rights available to users in Uganda, Tanzania, or Zambia.
15. Severability and Entire Agreement
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a competent court, that provision shall be modified to the minimum extent necessary to make it valid and enforceable. The remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and APD with respect to your use of the Academy and supersede all prior agreements and understandings on the same subject matter.
